1. Preamble

This Founding Members Pool Agreement (the “Agreement”) is entered into between AWAKEN Global Technologies Inc. (the “Company”) and the subscribed participant (the “Founding Member”).

The purpose of this Agreement is to define the rights, responsibilities, and benefits of Founding Members participating in the AWAKEN Founding Members Pool, a rewards program established to honor early supporters of the AWAKEN App initiativ

2. Purpose & Intent

The Founding Members Pool (the “Pool”) has been created to reward the early visionaries, contributors, and supporters who assist in the development, promotion, and global expansion of the AWAKEN App, an application designed to awaken humanity through sound, intention, and connection.

This Pool represents AWAKEN’s principle that prosperity and purpose are shared through collaboration and conscious participation.

3. Founders Pass Tiers & Issuance

The Company has established three levels of Founders Passes, each granting specific participation privileges in the Pool.
A limited number of passes shall be issued as follows:

The total issuance across all levels shall not exceed 12,333 passes globally.

Pool rewards will be distributed proportionally based on the number of available passes associated with each pass level.

4. Structure of The Pool

The Company commits to allocate two percent (2%) of all global membership sales revenue generated by the AWAKEN App to each tier within the Founding Members Pool (six percent, (6%) total)
The allocation shall include all revenue from basic and premium membership subscriptions.
The Pool will be funded and distributed quarterly, based on verified sales data.
Founding Members will receive rewards in proportion to their pass level and the number of passes available within each tier.

5. Distribution & Method

a) Rewards may be issued in cash, digital token, or credit balance within the AWAKEN ecosystem, at the discretion of the Company.
b) The Company will provide quarterly distribution summaries to all eligible members.
c) Payments will be made to the account or digital wallet registered with AWAKEN Global Technologies Inc.
d) Founding Members must maintain an active and verified account to remain eligible.

6. Tax Responsibility & Compliance

Each Founding Member acknowledges and agrees that:

Any reward, bonus, or benefit received under this Agreement may be subject to local, provincial, federal, or international tax laws.
The Founding Member is solely responsible for reporting and paying any taxes arising from their participation.
All rewards are provided as a voluntary bonus or goodwill incentive, not as salary, wages, or income.
This Agreement does not constitute an employment, partnership, or agency relationship between the Founding Member and the Company.

7. Duration And Vesting

a) The Founding Members Pool shall remain in effect for as long as the AWAKEN App generates membership revenue.
b) Rewards are non-transferable, except with prior written approval from the Company.

c) Vesting or holding periods, if introduced, shall be determined and communicated by the Company in future amendments

8. Governance And Transparency

The Pool shall be administered by AWAKEN Global Technologies Inc., which shall maintain accurate financial and membership records.

Quarterly reporting summaries will be available via the AWAKEN dashboard or other secure channel.
The Company reserves the right to modify distribution methods to maintain compliance and fairness.
Any such modifications shall be communicated in writing to all Founding Members

9. Governing Law

This Agreement shall be governed by, and construed in accordance with, the laws of the Province of British Columbia, Canada.
Any disputes shall be subject to the exclusive jurisdiction of the courts of British Columbia

10. Entire Agreement

This Agreement constitutes the entire understanding between the Founding Member and AWAKEN Global Technologies Inc. regarding the Founding Members Pool. No oral statements or prior agreements shall modify the terms contained herein, unless made in writing and signed by both parties

11. Dispute Resolution

In the event of any dispute arising under this Agreement, the parties agree to first attempt good faith negotiation. If resolution cannot be reached, disputes shall be submitted to mediation or binding arbitration in Vancouver, British Columbia, Canada, under the rules of the Canadian Arbitration Association, and the decision shall be final and binding.

12. Modification of Terms

AWAKEN may revise this Agreement at any time. Updated terms will be communicated within the AWAKEN App and via registered email, and continued participation constitutes acceptance of any such revisions.

16. Acceptance

By digital acceptance within the AWAKEN App or purchasing any of the Founding Member Passes through any of the AWAKEN Global Technologies INC. official websites, the Member confirms full understanding and agreement to all terms of the AWAKEN Founding Membership Pool agreement
